Terms of Service

1. Agreement to Terms

By accessing or using the Primera Labs website and M365 migration services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

2. Description of Services

Primera Labs provides Microsoft 365 tenant-to-tenant migration services, including but not limited to:

  • Distribution Lists migration
  • Security Groups migration
  • Dynamic Distribution Lists migration
  • Migration planning and assessment
  • Technical support during migration

3. User Responsibilities

When using our Services, you agree to:

  • Provide accurate and complete information about your Microsoft 365 tenants
  • Maintain the confidentiality of your account credentials
  • Ensure you have proper authorization to migrate data between tenants
  • Comply with all applicable laws and regulations
  • Not use our Services for any unlawful purpose
  • Notify us immediately of any unauthorized access to your account

4. Microsoft 365 Authorization

To use our migration services, you must grant Primera Labs appropriate access to your source and target Microsoft 365 tenants. You represent and warrant that:

  • You have the authority to grant such access
  • You have obtained all necessary consents from data owners
  • The migration complies with your organization's policies and any applicable Microsoft agreements

5. Service Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may temporarily suspend Services for maintenance, updates, or security reasons. We will provide reasonable notice when possible.

6. Data Handling

During the migration process, we may temporarily process and store your data. We commit to:

  • Handling all data in accordance with our Privacy Policy
  • Using industry-standard security measures
  • Deleting temporary data within 90 days of migration completion
  • Not accessing, using, or disclosing your data except as necessary to provide the Services

7. Payment Terms

Payment terms are specified in your service agreement or order form. Unless otherwise agreed:

  • Fees are due upon invoice receipt
  • All fees are non-refundable unless otherwise stated
  • We reserve the right to suspend Services for non-payment
  • Prices are subject to change with 30 days' notice

8. Intellectual Property

All intellectual property rights in our Services, including software, documentation, and website content, remain the exclusive property of Primera Labs. You are granted a limited, non-exclusive, non-transferable license to use our Services for their intended purpose.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Primera Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
  • We are not liable for any loss or corruption of data during migration beyond our reasonable control

10. Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that:

  • The Services will meet all your requirements
  • The Services will be uninterrupted, timely, or error-free
  • All data will be successfully migrated without any loss

We recommend maintaining backups of all data before initiating any migration.

11. Indemnification

You agree to indemnify and hold harmless Primera Labs, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights

12. Termination

Either party may terminate Services with 30 days' written notice. We may immediately terminate or suspend access to our Services if you:

  • Breach these Terms
  • Fail to pay fees when due
  • Engage in fraudulent or illegal activity

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Primera Labs operates, without regard to its conflict of law provisions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such changes constitutes acceptance of the new Terms.
